Terms of Service

These Terms of Service (“Terms”) form a legally binding agreement between you (“Merchant,” “you,” or “your”) and Paireeo Inc. (“Paireeo,” “we,” “us,” or “our”) governing your access to and use of our software applications and related services, including but not limited to FlowStream and Paireeo (together, the “Services”). Each of FlowStream and Paireeo may be referred to individually as an “Application.” By installing or using any Application, you agree to these Terms and any updates, changes, addendums, schedules, and/or other related documents. If you do not agree, you must not access or use the Services.

1. Eligibility and Accounts

You must be at least eighteen (18) years of age and authorized to bind the business entity that installs an Application. Access to the Services is provisioned through your Shopify account or another supported integration. You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You represent and warrant that all information you provide to Paireeo is accurate, complete, and current at all times.

2. Scope of Services

FlowStream automates the creation of product listings by extracting publicly available product information and publishing draft listings into your Shopify store.

Paireeo provides inventory management, consignment management, and payout orchestration for retail stores and consignors.

Paireeo Inc. does not operate as a marketplace, merchant of record, money transmitter, or tax advisor. You remain solely responsible for the products you sell, compliance with applicable laws and regulations, and the collection and remittance of any taxes.

3. Acceptable Use

You agree not to use the Services for unlawful, fraudulent, or infringing purposes, including the sale of counterfeit goods. You shall not interfere with or disrupt the Services, including by exceeding applicable API call limits, introducing malware, or attempting unauthorized access. You shall not reverse engineer, decompile, or copy the Applications except to the extent permitted by applicable law. You may not resell, sublicense, or make the Services available to third parties without Paireeo’s prior written consent.

4. Fees and Billing

Paid subscriptions and usage charges are billed through the Shopify billing API in accordance with Shopify’s billing cycle. All charges are non-refundable except where required by law. Free tiers may be offered but remain subject to these Terms. You are solely responsible for all applicable taxes, duties, and levies arising from your use of the Services.

5. Data and Privacy

You retain ownership of all data processed through the Services, including store data, orders, SKUs, consignor details, and payout information (“Merchant Data”). Paireeo does not sell Merchant Data in identifiable form or use it for targeted advertising.

You grant Paireeo a limited license to access, process, and use Merchant Data as necessary to operate, maintain, and improve the Services. You also agree that Paireeo may create Aggregated Data derived from Merchant Data, provided such data is de-identified and does not identify you, your store, or your customers. Paireeo may use Aggregated Data for analytics, benchmarking, industry reports, and other lawful business purposes, including the sale or distribution of such insights.

Upon uninstallation or termination, Paireeo will delete Merchant Data within a commercially reasonable period, subject to legal retention requirements. Aggregated Data created prior to deletion will remain the property of Paireeo. The collection and use of Merchant Data and Aggregated Data is further described in our Privacy Policy.

6. Warranties and Disclaimers

The Services are provided on an “as is” and “as available” basis. Paireeo disclaims all warranties, whether express, implied, or statutory, including any warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted availability. Paireeo does not warrant that the Services will be error-free, secure, or compatible with future versions of Shopify or other third-party services.

7. Limitation of Liability

To the maximum extent permitted by law, Paireeo shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, loss of goodwill, or loss of data, arising out of or in connection with your use of the Services.

Paireeo specifically disclaims liability for downtime, service interruptions, or data loss caused in whole or in part by third-party providers, including but not limited to Shopify, Render, Vercel, Railway, MongoDB, or other hosting, infrastructure, or integration partners.

In no event shall Paireeo’s aggregate liability under these Terms exceed zero dollars (CAD $0), regardless of whether you are a paying or free-tier user. These limitations shall apply notwithstanding the failure of any limited remedy to achieve its essential purpose.

8. Indemnification

You agree to indemnify, defend, and hold harmless Paireeo and its affiliates, officers, directors, employees, and agents from and against any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from (a) your misuse of the Services, (b) your violation of these Terms, or (c) your sale of products or services using the Services, including claims relating to counterfeit goods, privacy violations, or tax obligations.

Paireeo agrees to indemnify you against third-party claims alleging that an Application, when used as authorized, infringes such party’s intellectual property rights, provided you promptly notify Paireeo of the claim and allow Paireeo sole control of the defense and settlement.

9. Termination

You may terminate your use of the Services at any time by uninstalling the relevant Application from your Shopify account. Paireeo may suspend or terminate your access immediately if you breach these Terms, engage in unlawful conduct, or pose a security risk. Upon termination, you may request a copy of your Merchant Data, and Paireeo will provide commercially reasonable assistance for thirty (30) days. Thereafter, Merchant Data will be permanently deleted subject to applicable legal requirements.

10. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Province of Alberta, Canada, without regard to conflict of law principles. Any dispute arising under these Terms shall be resolved by binding arbitration in Edmonton, Alberta, under the Arbitration Act (Alberta), except that either party may bring claims in small claims court. You and Paireeo agree that claims must be brought on an individual basis and not as part of a class or representative action. Any claim must be commenced within one (1) year of the cause of action arising.

11. Changes to the Terms

Paireeo may revise these Terms from time to time. Material changes will take effect thirty (30) days after notice is provided to you via email or through the Applications. Your continued use of the Services after the effective date constitutes acceptance of the revised Terms.
